Incorporating your business in Saudi Arabia.
We advise foreign investors on selecting, establishing and preparing the appropriate Saudi corporate structure for their commercial objectives.
FormBridge runs incorporation as a single coordinated programme rather than a series of errands. We advise on the appropriate legal form, secure MISA foreign investment registration, complete incorporation, and carry the entity through to the registrations, authorities and banking arrangements it needs before it can contract, invoice and hire.
Clarity before incorporation. Control throughout the process.
The appropriate incorporation pathway depends on the proposed business activity, ownership structure, regulatory requirements and intended operating model. FormBridge assesses these factors at the outset and coordinates the establishment process through a single point of contact.
Initial Assessment
We review the proposed activity, ownership and commercial objectives to confirm the viable establishment routes.
Corporate Structuring
We recommend the legal form, ownership arrangement and governance model suited to the intended operating plan.
Establishment
We coordinate investment registration, constitutional documents and Commercial Registration through to issuance.
Operational Transition
We hand the entity into post-incorporation with the registrations and authorities it needs to begin operating.

Investment approval and entity creation
- Incorporation Pathway Assessment — a structured review of activity eligibility, ownership, capital expectations, regulator touchpoints and the sequence and dependencies of the establishment programme.
- Corporate Structure and Legal Form Assessment — comparison of limited liability company, joint stock company, branch and regional structures against the intended activities, governance and shareholder position.
- MISA Investment Registration — eligibility review, activity selection, parent-company documentation, legalisation requirements and filing of the investment registration application with the Ministry of Investment.
- Trade Name Reservation — availability review against the Ministry of Commerce naming rules, Arabic and English forms, and reservation of the approved name.
- Articles of Association and Bylaws — drafting of the constitutional documents, share capital and ownership provisions, management and signature authorities, and notarisation.
- Commercial Registration — issuance of the CR through the Ministry of Commerce, confirming the legal form, activities, capital and managers of the Saudi entity.
Operational registrations and activation
- Chamber of Commerce Registration — membership registration and certificate issuance, required for document attestation and many downstream transactions.
- National Address Registration — registration of the entity's official address, a prerequisite for correspondence and several government registrations.
- Initial Tax Registration — first registration with the Zakat, Tax and Customs Authority at establishment, with VAT registration where the entity's turnover or tax position requires it. Ongoing coordination sits under Corporate Operations & Compliance.
- Government Platform Activation — establishment files and administrator access across the labour, social insurance, immigration and tax platforms used to run the entity, including Qiwa, GOSI, Muqeem, Absher Business, Mudad and ZATCA where applicable.
- Corporate Bank Account Support — bank selection guidance, KYC and corporate document packs, authorised-signatory evidence and coordination with the bank through account opening.
- Post-Incorporation Operational Readiness — a closing review that confirms the registrations, authorities, signatories and platform access the entity needs before it can invoice, bank and hire.
FormBridge prepares documents and files submissions under authorisation. Government approvals remain with the competent authorities. Where work requires licensed professionals, it is coordinated with or delivered through appropriately licensed parties.
