Who it's for

Who we work with.

  • 01Foreign parents that need Saudi corporate records kept correctly without an in-house company secretary.
  • 02Entities changing managers, signatories, shareholders, capital or activities.
  • 03Groups holding several Saudi entities and wanting one consistent governance standard.

  • Executed and, where required, notarised amendment deeds to the Articles of Association or Bylaws.
  • Board / shareholders' resolutions and general-assembly minutes filed with the Ministry of Commerce.
  • Updated shareholders' register (JSC/SJSC) and share-transfer instruments.

How it works

From assessment to completion.

  1. 01
Review the entity, prior resolutions and the exact governance change required.
  2. 02
Draft the resolution or amendment in Arabic and English and arrange notarisation.
  3. 03
File the change with the Ministry of Commerce and any linked authority (MISA, ZATCA, HRSD).
  4. 04
Update the statutory registers and issue a refreshed corporate document pack.
  5. 05
Log evidence and confirm the change is reflected across records and platforms.
What we need from you

Client inputs.

  • Current commercial registration, MISA investment registration and Articles of Association.
  • Prior resolutions, amendments and any existing statutory registers.
  • Passport or Saudi ID copies for incoming or outgoing managers, shareholders or signatories.
  • Shareholder or board instruction confirming the change and the effective date.
  • UBO information for individuals holding 25% or more, directly or indirectly.

Simple appointments and signatory changes are quick; capital changes and constitutional amendments follow a longer sequence. Government approvals remain with the competent authorities. This service differs from annual maintenance: it is event-driven governance work, not the recurring renewal calendar.
