How the matter is executed.

  1. 01
Review the entity, its current registrations and the specific corporate action required.
  2. 02
Draft or compile the resolutions, minutes and supporting evidence and arrange notarisation where required.
  3. 03
File the amendment with the Ministry of Commerce and any linked authority (MISA, ZATCA, HRSD, GOSI, Chamber).
  4. 04
Update the statutory registers and cascade the change across downstream government platforms.
  5. 05
Update the compliance calendar and issue a completion pack to the client.
Regulatory purpose

Why the matter exists.

Maintain the Saudi entity as a well-governed legal person: keep the statutory registers accurate, execute every amendment filing (shareholders, capital, activities, managers, address, legal form), and run the annual corporate-secretarial calendar with the Ministry of Commerce and linked authorities.

Client documents & authorization

What we need from you.

Documents
  • Existing commercial registration, investment registration and Articles.
  • Prior resolutions and amendments (where relevant).
  • Shareholder or manager identification documents (attested where required).
Authorization

A signed engagement letter setting scope and exclusions, plus a written authorization or notarised power of attorney limited to the specific filings, where the authority requires representation.

Common authority queries & deficiencies

What causes rejections and delays.

  • Prior amendments not fully cascaded across linked authorities, causing capital or shareholder data to differ between MoC, MISA and ZATCA.
  • Missing prior general-assembly minutes or unratified financial statements block the current filing.
  • Beneficial-owner data does not reconcile with the corporate chain and requires re-declaration.
  • Manager / signatory changes not reflected on the CR when banking or portal access is attempted.
Post-completion obligations

What comes after issuance.

  1. 01Distribute updated corporate documents to the client's bank, auditor and internal legal team.
  2. 02Cascade the change through ZATCA, HRSD, GOSI, Chamber, Qiwa and Muqeem.
  3. 03Refresh the authority matrix and re-issue any powers of attorney affected by the change.
Exclusions & professional caveat

What we do not do on this matter.

  • Litigation, shareholder disputes, transactional legal drafting and reserved legal opinions.
  • Statutory audit and financial-statement preparation.
  • Court-supervised liquidation and formal insolvency proceedings, which require a licensed liquidator / trustee.

Government approvals and determinations remain with the competent authorities.

Indicative timeline

How long it takes.

Corporate changes must follow a strict sequence across the Ministry of Commerce and any linked authorities. We set out that sequence and realistic timing case by case, subject to authority processing times.

Fee structure

How we quote.

FormBridge professional fees are fixed against a written scope. Government fees, notarisation, certified translation, legalisation, third-party providers and specialist advisers are billed at cost and quoted separately.
